Orion Terms of Service

Welcome to Orion, a software platform that helps coaches and coachees collaborate, manage sessions, and enhance personal and professional development using AI-assisted tools.

By accessing or using Orion (the “Service”), you agree to these Terms of Service (“Terms”) and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use Orion. By using the Service, you represent that you meet these requirements.

2. Accounts and Access

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate and complete information.
  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Service

Orion provides a digital platform for coaches and coachees to:

  • Communicate, share resources, and manage sessions.
  • Use AI-assisted tools to generate insights, prompts, and learning materials.
  • Store limited contextual information (“Content”) such as notes or goals.

The Service is provided “as is” and may evolve over time. We may add, modify, or remove features without notice.

4. User Content

You retain ownership of all materials you upload, input, or generate through the Service (“User Content”). By using Orion, you grant Cognitive Edge a limited, worldwide, non-exclusive, royalty-free license to:

  • Host, process, and display your User Content for the purpose of providing and improving the Service.

We do not sell or share your User Content with third parties except as required to operate the platform or by law.

5. Team Access and Sharing

Within an established coach–coachee relationship in Orion:

  • Coaches can access the content they upload for a coachee, related metadata and derived data (e.g., document embeddings), and AI‑generated summaries where the coachee has enabled sharing.
  • Coachees can access items that are explicitly shared with them (e.g., files marked "shared").
  • Access is limited by role‑based permissions and row‑level security policies. Do not attempt to bypass these controls or access data you are not authorized to view.

6. AI-Generated Content

Orion includes features powered by artificial intelligence. AI-generated outputs are informational only and do not constitute professional, legal, medical, or financial advice. You are responsible for evaluating and verifying any AI-generated information before relying on it.

7. Acceptable Use

You agree not to:

  • Use the Service for unlawful, abusive, or fraudulent purposes.
  • Upload or distribute viruses or harmful code.
  • Attempt to access another user’s data without permission.
  • Interfere with or disrupt the Service’s integrity or performance.

Violation of this policy may result in suspension or termination of your account.

8. Privacy and Data Protection

Your privacy is important to us. Our data handling practices are detailed in the Orion Privacy Policy, which forms part of these Terms. Cognitive Edge complies with applicable data protection laws, including the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA) where applicable.

9. Payment and Subscriptions

If paid plans are introduced, payment terms will be disclosed at checkout. All fees are non-refundable except as required by law. We may change pricing or billing terms with reasonable notice.

10. Intellectual Property

All rights, title, and interest in Orion (including software, design, text, and trademarks) are owned by Cognitive Edge LLC or its licensors. You may not reproduce, copy, or create derivative works from the Service without written permission.

11. Service Availability

We strive to maintain reliable access but do not guarantee uninterrupted operation. Planned maintenance or unexpected outages may temporarily affect access.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. Cognitive Edge disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Cognitive Edge LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service.
  • Our total liability for any claim will not exceed the amount you paid (if any) in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Cognitive Edge LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

15. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or engage in activity that harms the Service or other users.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles. Any dispute shall be resolved through binding arbitration in Austin, Texas, under the rules of the American Arbitration Association. You waive any right to a jury trial or class action.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date and, where appropriate, notify you. Continued use of the Service means you accept the revised Terms.

19. Third-Party Services

The Service relies on third‑party providers to function. By using Orion, you consent to processing by these providers to the extent necessary to deliver the Service:

  • Supabase (authentication, database, storage, email delivery)
  • OpenAI (LLM generation and embeddings)
  • Mem0 (long‑term memory for chat context, if enabled)
  • Email and observability vendors (transactional mail, logging)

Use of these services is governed by their respective terms. We select providers that align with our security and privacy standards and use them solely to operate and improve Orion.
